Advanced semiconductor solution provider Renesas Electronics and global electronic product leader Altium Limited Design Systems recently announced that they have signed a Plan Implementation Agreement (SIA), and Renesas Electronics will acquire Altium in accordance with Australian law.
According to the transaction terms, under multiple conditions, Renesas Electronics will acquire all issued shares of Altium at a cash price of AUD 68.50 per share, equivalent to a total equity value of approximately AUD 9.1 billion (approximately RMB 43.7 billion).
This acquisition combines Altium's advanced cloud platform capabilities with Renesas Electronics' powerful embedded solutions, combining high-performance processors, simulations, and power supplies. This merger will also achieve integration with third-party suppliers throughout the entire ecosystem, enabling seamless execution of all electronic design steps on the cloud.
The electronic system design and lifecycle management platform will provide integration and standardization of various electronic design data and functions, as well as enhanced component lifecycle management, while achieving seamless digital iteration of the design process to improve overall productivity. This accelerates the pace of innovation and lowers entry barriers for system designers by reducing development resources and inefficiencies.
The acquisition of Altium resulted in revenue of $263 million, a 36.5% EBITDA profit margin, and 77% recurring revenue. These numbers are based on Altium's fiscal year ending June 30, 2023.
The history of Altium began in Australia in 1985 and is one of the world's earliest providers of printed circuit board (PCB) design tools. The company has developed into a global market leader with the most popular PCB software tools available today. Altium's leading PCB design software has added the world's first digital platform for designing and implementing electronic hardware, Altium 365, achieving seamless collaboration throughout the entire PCB design process. In June 2023, Renesas Electronics announced the standardized development of all PCB designs on Altium's Altium 365 cloud platform.
The transaction has received unanimous approval from the boards of directors of both companies and is expected to be completed in the second half of 2024. The completion of the transaction also requires approval from Altium shareholders, Australian courts, regulatory authorities, and other customary transaction status.
